Terms of Service

Introduction

These Terms of Service ("Terms") govern your access to and use of the services provided by Sally ("we," "us," or "our"). By downloading, installing, accessing, creating an account for, or using any part of the Services, you agree to these Terms and our Privacy Policy.

If you do not agree to these Terms, do not access or use the Services.

Definitions

• "App" means the Sally macOS application and any future platform versions.
• "Services" means the App, the website at heysally.ai, the backend processing infrastructure, and any related features, beta features, or pre-release versions of the foregoing.
• "we," "us," "our" refers to the operator of Sally.
• "you" refers to the individual or entity accessing or using the Services.
• "Your Content" means any audio, text, prompts, transcripts, files, or other content that you submit to, upload to, record with, generate through, or otherwise process using the Services.

License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the App and Services for your personal use or internal business use.

This license does not give you any ownership rights in the Services.

Account and Eligibility

Age. You must be at least 13 years old to create an account and use the Services. If you are under 13, do not use the Services. We do not knowingly collect personal data from children under 13.

Account. You agree to provide accurate and complete information when creating your account and to keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

One person per account. You may not share your account credentials with or grant access to your account to any other person.

Unauthorized access. If you become aware of any unauthorized access to your account or any other security breach, you must notify us immediately at support@heysally.ai. We may suspend or terminate your account if we reasonably believe it has been compromised or is being misused.

Subscriptions, Payments, and Refunds

Payment. Certain features of the Services require a paid subscription. Payments are processed by our third-party payment processor, Polar. We do not store your payment card details.

Auto-renewal. Subscriptions renew automatically at the end of each billing period unless canceled before the renewal date. You are responsible for all applicable taxes.

Price changes. We may change subscription pricing. If we do, we will provide reasonable notice before the new price takes effect, giving you the opportunity to cancel before being charged.

Refunds. We offer a 30-day refund window from the date of your first subscription purchase. For full details, see our Refund Policy.

Cancellation. You may cancel your subscription at any time. Your access will continue until the end of the current billing period.

Restrictions

You agree not to use the Services to:

• violate any applicable law or regulation;
• reverse engineer, decompile, disassemble, or attempt to extract the source code of the App;
• scrape, crawl, or systematically extract data from the Services by automated means;
• circumvent, bypass, or attempt to defeat any paywall, subscription mechanism, or access control;
• record, transcribe, or process another person's speech or private communications without any notice or consent required by applicable law;
• use the Services or any output for automated decision-making that has a legal or similarly significant effect on any individual without adequate human oversight and in compliance with applicable law;
• harass, abuse, threaten, or harm any person;
• impersonate any person or entity, or falsely represent your affiliation with any person or entity;
• introduce malware, viruses, or any code that could damage, interfere with, or disrupt the Services;
• resell, sublicense, or otherwise transfer access to the Services to any third party without our express written permission; or
• create multiple accounts to circumvent usage limits, suspensions, or other restrictions.

Violation of these restrictions may result in immediate suspension or termination of your account.

AI Features and Outputs

The Services use AI and machine learning to transcribe audio and generate text outputs. These outputs are provided "as is" and without any warranty of accuracy. Transcriptions and AI-generated text may contain errors, omissions, or inaccuracies.

You are solely responsible for reviewing and verifying any output before relying on it, sharing it, or acting on it.

You should not use AI-generated outputs as a substitute for professional, medical, legal, financial, or other expert advice.

Your Content

You retain ownership of Your Content.

You grant us a limited, non-exclusive right to process, transmit, and use Your Content only as necessary to provide, maintain, secure, and improve the Services, and as otherwise described in our Privacy Policy. Any storage of Your Content is subject to our Data Guarantees below and our Privacy Policy.

You represent and warrant that you have all rights, permissions, and consents necessary to use Your Content with the Services.

Data Guarantees

In addition to our Privacy Policy, we commit to the following:

• No audio retention. Audio recordings you submit for transcription are not retained on our servers after processing is complete. Your audio is used solely to generate the transcription and is then discarded.
• No training on your voice data. Your voice recordings and transcription content are never used to train AI models.
• Local dictation history. Your dictation history, including audio playback, original transcription, and formatted results, is stored only locally on your device. We do not sync it to our servers and do not have access to it.

We will not materially change these core data commitments without providing prior notice through the Services or by email.

Privacy

By using the Services, you acknowledge that we may collect and process information as described in our Privacy Policy, which describes how we collect, use, store, and protect your personal information.

Intellectual Property

All intellectual property rights in the Services, including the App, website, software, design, branding, and related materials, belong to us or our licensors.

Except for the limited license granted in these Terms, no rights in the Services are transferred to you.

You may not use our trademarks, logos, or branding without our prior written permission.

Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Services, including any transcription or AI-generated output, are provided "as is" and "as available" without warranties of any kind, express or implied.

We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Services will be uninterrupted, error-free, secure, accurate, or free from harmful components, or that any output will meet your requirements or expectations.

Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you. Nothing in these Terms affects any rights you may have under mandatory law.

Limitation of Liability

To the maximum extent permitted by applicable law, we are not liable for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of data, profits, revenue, business, goodwill, or other intangible losses, arising out of or related to:

• your access to, use of, or inability to access or use the Services or any outputs;
• any content obtained from the Services, including any transcription or AI-generated output;
• any conduct or content of any third party in connection with the Services;
• unauthorized access to, use of, or alteration of your transmissions or Your Content;
• any errors, inaccuracies, bugs, viruses, or malicious software transmitted through the Services; or
• any interruption, suspension, or cessation of the Services.

We have no control over, and assume no responsibility for, the content, privacy practices, or conduct of any third-party services accessible through or integrated with the Services.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

Termination

You may stop using the Services at any time.

We may suspend or terminate your access to the Services if you violate these Terms, if your use creates risk or harm to us or others, if we reasonably believe your account is being used unlawfully or abusively, or if we discontinue the Services.

Upon termination:

• You must stop using the Services.
• Your account data will be handled in accordance with our Privacy Policy.
• You may delete your account at any time from within the App, which will permanently remove your account data.
• Sections that by their nature should survive termination will remain in effect, including License, Your Content, Intellectual Property, Disclaimer of Warranties, Limitation of Liability, and General Terms.

Changes to These Terms

We may update these Terms from time to time. When we do, we will update the date at the top of these Terms.

For material changes that meaningfully affect your rights or obligations, we will notify you by email or in-app notice before the changes take effect. Continued use of the Services after the updated Terms become effective constitutes your acceptance of the revised Terms.

General Terms

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

Our failure to enforce any provision of these Terms is not a waiver of that provision.

These Terms, together with the Privacy Policy and any applicable Refund Policy, constitute the entire agreement between you and us regarding the Services.

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a transfer of the Services or related assets.

Feedback. If you send us feedback, suggestions, or ideas about the Services, we may use them freely without any obligation to you.
